THIS WEBSITE (THE "AFRICAN LODGE DIRECTORY WEB SITE") AND ANY OF OUR SERVICES WHICH ARE ACCESSIBLE ON OR VIA THE AFRICAN LODGE DIRECTORY WEB SITE (THE "AFRICAN LODGE DIRECTORY SERVICE") ARE GOVERNED BY THE TERMS AND CONDITIONS BELOW. THESE TERMS AND CONDITIONS ARE BINDING AND ENFORCEABLE WHEN YOU ACCESS THE AFRICAN LODGE DIRECTORY WEB SITE OR ANY PART THEREOF. a) “the Web site” means the Web site owned and operated by African Lodge Directory and located at http://www.africanlodgedirectory.co.za or http://www.africanlodgedirectory.com, including any page, part or element thereof;
b) “Advertiser” means the individual or organisation that makes use of African Lodge Directory to place an advert or reference to its own business available to Users of this Web site;
c) “African Lodge Directory” means African Lodge Directory CC with registration number 2006/015642/23;
d) “content” means, but not limited to text, graphics, icons, links and other similar material on the website;
e) “ECT Act” means the Electronic Communications and Transactions Act 25 of 2002;
f) “User” means you or any other person who enters or uses the Web site, notwithstanding the fact that such a person only visits the home page of the Web site;
g) References herein to the singular includes the plural and vice versa; and

2. ALLOWED USE OF THE AFRICAN LODGE DIRECTORY WEB SITE
2.1 African Lodge Directory hereby grant you a non-exclusive, non-transferable license, subject to the conditions, to:
2.1.1 View / browse the Web site; or
2.1.2 Use and make legitimate purchase of goods or services on the Web site; or
2.1.3 Copy, download and print the content of the Web site content for personal, non-commercial and information purposes only, unless otherwise agreed to under this Agreement;
2.2 License conditions:
2.2.1 For any re-use or distribution of the content, you must make clear to others the terms and conditions applicable to the content available from the website;
2.2.2 You are not allowed to reverse engineer, decompile or modify the Web site or any part thereof;
2.2.3 You are not allowed to copy, reproduce, republish, upload, post, transmit or distribute any content other than those content for the purposes allowed under this Agreement;

2.2.5 In all of the aforesaid Licensed Rights, African Lodge Directory must be acknowledged as the source of the material and the African Lodge Directory’ contact details must be reflected accordingly;
2.2.6 We own or are licensed to use the software that runs this Web site. Save to the extent expressly permitted by applicable laws, you must not copy, modify, download, distribute or de-compile the software without our consent;
2.2.7 Users may only access, browse and use the Web site for legal purposes;
2.2.8 No framing or deep linking is allowed;
2.2.9 No technology / applications / software such as spiders, robots, or web crawlers are allowed to search and / or copy certain quantities of content from the Web site, unless the necessary authorization has been provided or the aforesaid technology / applications / software are used by legitimate and authorized entities, e.g. Search engines;
2.2.10 Your fair use and other rights are in no way affected by the above;
2.2.11 The caching of the Web site shall only be allowed if:
2.2.11.1 The cached content is not modified in any manner whatsoever;
2.2.11.2 The cached content is updated on a regular basis; and
2.2.11.3 The cached content is removed or updated when so required by African Lodge
Directory.

2.3.1 This Web site may contain links to other web sites operated by third parties. African Lodge Directory do not endorse, or approve of the operators and / or owners of Third Party web sites, or the information, graphics and material on those Third Party web sites;
2.3.2 African Lodge Directory make no warranties or representations:
2.3.2.1 regarding the quality, accuracy, reliability, legality, merchantability or fitness for
purpose of Third Party web site content or products or services available through Third
Party web sites; or
2.3.2.2 that Third Party web site content does not infringe the intellectual property rights of any person. African Lodge Directory are not authorising or endorsing or otherwise
condoning the reproduction of Third Party web site content by linking to it.
2.3.3 African Lodge Directory expressly disclaims acting in any respect on behalf of Third Party web site operators and / or owners. Please note that third party sites may be subject to their own terms of use and privacy policies different from those of this site;
2.3.4 Hyperlinks to the African Lodge Directory Web Site will be allowed, subject to the following conditions:
2.3.4.1 Submit request to hyperlink to African Lodge Directory, reflecting the details of your organisation and particular website that will host the hyperlink to Web site;
2.3.4.2 On acceptance of your request you will receive a Linking Agreement to be signed and submitted to African Lodge Directory. On receipt of this agreement we will forward you the necessary hyperlinks, logo(s), slogans etc.;
2.3.4.3 All hyperlinks to link to the Web site must link to the Homepage. Links beyond the
African Lodge Directory home page may only be used with African Lodge Directory’s
prior written consent.
2.4 E-mail addresses, names, telephone numbers and fax numbers published on the Web site may not be incorporated into any database used for electronic marketing or similar purposes. The presentation of such details is no “opt-in” / permission from African Lodge Directory to utilise same;

3. INTELLECTUAL PROPERTY RIGHTS
3.1 All Intellectual Property available on the website, including but not limited to trademarks, copyright material, i.e. content, domain names, patents, design elements, software, source code, meta tags and databases are the property of - or license to African Lodge Directory and may not be utilized outside the licensed terms as set out under paragraph 2 above. African Lodge Directory reserves all other Intellectual Property rights;
3.2 African Lodge Directory would be pleased to consider requests for permission to disseminate or use African Lodge Directory content outside the scope of the licence terms set out under paragraph 2 above, provided that our written approval is obtained in advance. 4. ADDITIONAL INFORMATION TO YOU AS CONSUMER
Access to the services, content, software and downloads available from the Web site may be classified as “electronic transactions” as defined in terms of the ECT Act and therefore Users have the rights detailed in Chapter 7 of the ECT Act and African Lodge Directory has, amongst others, the duty to disclose the following information:
4.1 The costs associated with the access and use of the Web site are as follows:
4.1.1 Access: Free
4.1.2 Advertising Subscription : Prices as quoted on Web site;
4.2 Description and main characteristics of goods being sold on the Web site, available from the Web site;
4.3 Alternative dispute resolution: Subject to urgent and/or interim relief, all disputes regarding:
4.3.1 access to the Web site;
4.3.2 the inability to access the Web site;
4.3.3 the services and content available from the Web site; or
4.3.4 these terms and conditions,
shall be referred to arbitration in terms of the expedited rules of the Arbitration Foundation of South Africa and such arbitration proceedings shall be conducted in Pretoria in English. The arbitration ruling shall be final and the unsuccessful party shall pay the costs of the successful party on a scale as between attorney and own client. The expedited rules of the Arbitration Foundation of South Africa may be downloaded from the following web site: http://www.arbitration.co.za. In the event that either party materially breaches any term or condition of this agreement, in addition to any and all other remedies available to it at law the non-breaching party shall be entitled to interim interdicting relief from further violation of the agreement;
4.4 Users may return goods or services within 7 (seven) days as detailed in section 44 of the ECT Act, but only if such goods or services are not detailed in section 42(2) of the ECT Act. Without limiting the scope of section 42(2), no Cooling-off period will be applicable with regard to services which commence with the Subscriber’s
consent prior to the end of the allowed cooling-off period;
4.5 You can view or print a full record of the transaction that you may have executed by using the Web site. A transaction will be maintained for a period of twelve months after the conclusion of the transaction on the Web site;

5.4 Disclosure of Your Information
5.4.1 We may give information about you to the following, who may use it for the same purposes as set out above, excluding direct communications with you as set out under clause 5.3.2.5 above:
5.4.1.1 to employees and agents of African Lodge Directory to administer, including delivery, any accounts, products and services provided to you by African Lodge Directory now or in the future;
5.4.1.2 agents who (on our behalf) profile your data so that we may tailor the goods/services we offer to your specific needs;
5.4.1.3 to anyone to whom we transfer or may transfer our rights and duties under our agreement with you;
5.4.1.4 if we have a duty to do so or if the law allows us to do so.
5.4.2 No log-in names or passwords will be disclosed to any third party, except those third parties responsible for the execution of the africanlodgedirectory.co.za / .com log-in facility;
5.4.3 Occasionally third parties may provide storage services to African Lodge Directory. In those circumstances those third parties shall be required to enter into a Non Disclosure Agreement on no less stringent terms than found in this privacy statement and to process and protect your data solely in accordance with our instructions;
5.4.4 You have the right to see your personal information that we keep about you, either via the African Lodge Directory User account access or upon receipt of a written request and payment of a fee (See Promotion of Access to Information Act 2 of 2000). 6.2 To provide adequate security to all users of the website and to comply with section 86 of the ECT Act you hereby agree to African Lodge Directory right to intercept, monitor, block, read, delete or accesses all data sent to the website or any other African Lodge Directory communication facility, e.g. email, Instant messaging – or fax to email application, subject to conditions as set out under the Regulation of Interception
of Communications and Provision of Communication related information act 70 of 2002;
6.3 It is our policy to virus check documents and files before they are posted on this Web site. However, we cannot guarantee that documents or files downloaded from this Web site will be free from viruses and we do not accept any responsibility for any damage or loss caused by any virus. Accordingly, for your own protection, you must use virus-checking software when using this Web site. 6.4 African Lodge Directory shall take all reasonable steps to secure the content of the Web site and the information provided by and collected from Users from unauthorised access or disclosure. However, African Lodge Directory does not make any warranties or representations that content shall be 100% safe and secure;
6.5 Virtual Card Services process all credit card transactions. All credit card transactions are 128 bit Secure Socket Layers (SSL) encrypted. African Lodge Directory registration documents and the site's registered domain name are checked and verified by Thawte., ensuring the cardholder and merchant that nobody can impersonate VCS to obtain confidential information.
6.6 Virtual Card Services is committed to providing secure online services. All encryption complies with international standards. Encryption is used to protect the transmission of personal information when completing online transactions. Virtual Card Services Internet servers are protected by firewalls and intrusion detection systems. Virtual Card Services continually reviews and enhances its security in line with
technological changes;
6.7 The Merchant does not have access to credit details;
6.8 Users may not deliver or attempt to deliver, whether on purpose or negligently, any damaging code, such as computer viruses, to the Web site or the server and computer network that support the Web site;
6.9 Notwithstanding criminal prosecution, any person who delivers any damaging code to the Web site, whether on purpose or negligently, shall, without any limitation, indemnify and hold African Lodge Directory harmless against any and all liability, damages and losses African Lodge Directory and its partners / affiliates may suffer as a result of such damaging code.
6.10 Users may not develop, distribute or use any device to breach or overcome the security measures of the Web site, and African Lodge Directory reserves the right to claim damages any and all persons concerned with a security failure or breach.


7. LIMITATION OF LIABILITY
7.1 The Web site and all materials found on the Web site are intended for information purposes and provided "as is" without any warranty, representation, condition, undertaking, or terms of any kind, express or implied, statutory or otherwise, including without limitation, the warranties of merchantability, non-infringement of intellectual property, or fitness for a particular purpose;
7.2 Although every effort possible will be made by African Lodge Directory to ensure that the information on the Web site is accurate, African Lodge Directory does not warrant the accuracy or completeness of the information, text, graphics, links or other items contained in the Web site, especially those information received from 3rd party service providers and / or advertisers. African Lodge Directory may make changes to the Web site, the policies, information described in the materials or content of these Terms and Conditions, at any time without notice. African Lodge Directory reserve the right to vary or amend these terms and conditions from time to time. Any changes shall take effect upon posting to this website. African Lodge Directory makes no commitment to update the materials and may discontinue any of the Web site or services or certain software or version of certain software for the utilisation of the Web site;
7.3 Subject to section 43(5) and 43(6) of the ECT Act, African Lodge Directory and its service providers will not be liable for any special, direct, indirect or consequential damages or any other damages whatsoever, including loss of profits or data, any delays, whether in an action in contract or delict, arising out of the use or performance of the Web site, even if African Lodge Directory have been advised of the possibility of such damages;
7.4 African Lodge Directory does not make any warranties or representations that the Web site shall be available at all times. Users acknowledge that the Web site may be unavailable due to updates or other causes beyond the reasonable control of African Lodge Directory, including, but not limited to virus infection, unauthorised access (hacking), power failure or other “acts of God”;
7.5 It is the responsibility of the User to acquire and maintain, at his/her own expense, the necessary hardware, software, communication lines and Internet access accounts required to access the Web site, download content from the Web site or execute an electronic transaction on the Web site. African Lodge Directory can not be held liable for any damages caused as a result of the malfunction of any of the aforesaid under the
control of the User;
7.6 African Lodge Directory acts as a directory services through where the User is introduced to a variety of service / product providers. African Lodge Directory shall not be liable for any incorrect bookings or delays as a result of certain actions or omissions of the advertised Service Providers, their management or employees or changes to their own internal policies or agreements;;
7.7 African Lodge Directory may provide hyperlinks to web sites not controlled by African Lodge Directory (“target sites”) and such links do not imply any endorsement, agreement on or support for the content of such target sites;
7.8 African Lodge Directory does not editorially control the content on such target sites and shall not be liable, in any manner whatsoever, for the access to, inability to access or content available on or through such target sites.

8. AGREEMENT IN TERMS OF CHAPTER III, PART 2 OF THE ECT ACT
8.1 Formation and validity of this Web site agreement
You agree that:
8.1.1 these Terms and Conditions are valid, binding, enforceable and concluded in Pretoria, the moment you access / view the African Lodge Directory website and constitute the entire agreement between African Lodge Directory and the User and shall take precedent over any disclaimers or legal notices attached to any communications or postings received by African Lodge Directory from the User;
8.1.2 if you are not a consumer, you confirm that you have authority to bind any business on whose behalf you use this website;
8.1.3 all information that are incorporated by using hyperlinks and / or other methods of reference form part of this agreement (see section 11(3) of the ECT Act);
8.1.4 if any term of this agreement is or becomes illegal, invalid or unenforceable in any jurisdiction, that shall not affect the legality, validity or enforceability in that jurisdiction of any other term of this agreement;
8.1.5 notwithstanding the fact that hyperlinks in these terms and conditions to copyright notices and legislation should be deemed part of these terms and conditions in terms of section 11 of the ECT Act, the fact that some or all of the hyperlinks may be non-operational, shall not play a role in determination of the validity and interpretation of these terms and conditions;
8.1.6 Any failure by African Lodge Directory to exercise or enforce any right or provision shall in no way constitute a waiver of such right or provision.
8.2 Formation and validity of the African Lodge Directory Advertising Subscription agreement
8.2.1 Prices on the African Lodge Directory website constitutes an invitation to do business;
8.2.2 African Lodge Directory shall take all reasonable efforts to maintain correct prices. However, should errors occur and items are placed on the Web site against incorrect prices, African Lodge Directory will not be obliged to sell products / services at such incorrect prices;
8.2.3 The placement of products / services in the “shopping basket” / final quotation page of the African Lodge Directory website purchase facility does not constitute an order or an agreement;
8.2.4 The submission of the selected product / service and credit card details will constitute an order and offer by yourself to African Lodge Directory;
8.2.5 The receipt of the abovementioned order / offer and credit card details by African Lodge Directory is no automatic acceptance of an order / offer. An acknowledgement of receipt or order confirmation notice will not constitute and acceptance of such order / offer. African Lodge Directory reserves its right to refuse or reject an order without giving any reasons. African Lodge Directory also reserves the right to cancel orders in whole or in part as circumstances dictate. African Lodge Directory shall only be liable to refund monies already paid by the user;
8.2.6 On receipt of orders and credit card details African Lodge Directory and its selected third party service provider, appointed for the execution of the credit card authorisation, will authorise the requested transaction. Execution of the aforesaid or where you purchase products or services from African Lodge Directory and deposit the required purchase amount by way of an electronic transfer or any other method, within 5 (five) days after the order into an account of African Lodge Directory bank account, will not constitute and agreement between yourself and African Lodge Directory;
8.2.7 An Agreement will only be formed after African Lodge Directory’s acceptance of the order / offer and at the time and place where African Lodge Directory’s confirmation / reply of such acceptance is send.
8.3 Time and Place of communication, dispatch and receipt
8.3.1 Data Messages sent from African Lodge Directory to you have been sent from African Lodge Directory place of business;
8.3.2 Data Messages sent from African Lodge Directory to you are deemed to be received when complete message enters an information system (including your information service provider’s information system) designated or used for that purposes by yourself;
8.3.3 Data Messages from you to African Lodge Directory are deemed to be received by African Lodge Directory only when African Lodge Directory responds thereto. Such acknowledgement further does not give legal effect to that message, unless specifically indicated by African Lodge Directory that it does give legal effect to the Message;
8.4 Expression of intent
8.4.1 You acknowledge that all agreements and authorization under this agreement satisfies the “writing” requirement as per section 12 of the ECT Act;
8.4.2 For purposes of Electronic Communications between yourself and African Lodge Directory no Electronic Signature is required; the mere sending of Data Messages or browsing of our Web site demonstrates your intent to be a party to this agreement;
8.5 Attribution of data messages to originator
8.5.1 You agree and warrant that the data message sent, from any Computer or device that are owned by yourself or your employer or programmed by yourself or on your behalf, to African Lodge Directory was sent by yourself or a person that had authority to act on your behalf in respect of the data message.

9. AFRICAN LODGE DIRECTORY PRODUCTS / SERVICES
9.1 Prices
9.1.1 The price of each product / service is displayed with each product / service on the Web site. In the event of a sale or special offer, the discounted price is displayed. Special offers will only be available as long as the price of such special offer is reflected on the Web site. Transactions with regard to Special Offers will also be subject to the conditions as explained under clause 8.2 above;
9.1.2 African Lodge Directory may change the prices at anytime without prior notice or discontinue certain products / services without any prior notice;
9.2 Value Added Tax (“VAT”)
9.2.1 All prices reflected on the Web site and under this agreement are excluded of VAT;
9.2.2 VAT are charged at the rate of 14% (fourteen per centum) on all items bought through the African Lodge Directory website
9.3 Advertising space
9.3.1 Advertising space will be limited to 3 (three) pictures and / or about 120 words;
9.3.2 The Advertiser may not present misleading or false information about its services via the Web site;
9.3.3 The Advertiser may not imply that African Lodge Directory is endorsing or sponsoring the Advertiser’s web site, or any services or products available from the Advertiser;
9.3.4 The Advertiser may not use African Lodge Directory’s logos, trade marks or content of this Web site or any part thereof without prior written permission from African Lodge Directory;
9.3.5 The Advertiser may not advertise or link such advertisement under African Lodge Directory Web site to any content that could be construed as obscene, libellous, defamatory, pornographic, or inappropriate for all ages or contain materials that would violate any laws;
9.3.6 Payment for advertisement will take place in advance and no Advertisement will commence prior to acceptance of payment by African Lodge Directory;
9.3.7 Where continues advertising are requested, but a subsequent payment is unsuccessful, African Lodge Directory has the right to remove all advertising material from the Web Site immediately and charge the Advertiser R60.00 (sixty rand) administration fee;
9.3.8 With reference to clause 9.3.2 and 9.3.5 above, the Advertiser indemnifies African Lodge Directory against any 3rd party claim or liability that may result as a result of any advertisement whatsoever, placed under the African Lodge Directory Web site.

10. RETURN AND REFUND POLICY
10.1 No refunds will be allowed

11. PAYMENT
11.1 All transactions will be processed in South African Rands (ZAR);
11.2 We accept credit card payments via the Web site and on request will supply our banking details should you wish to make payment via EFT or Direct Deposit;
11.3 Credit card payments.
11.3.1 At the time of placing the order, the transaction details are presented to the bank and an authorization is obtained for the amount of the order.
11.3.2 Payment is only collected when the order is completed and the goods send for delivery;
11.3.3 To protect African Lodge Directory interests and your interest, African Lodge Directory and its selected service provider(s) will scrutinize all transactions very carefully to prevent attempted fraud; a transaction may be refused if African Lodge Directory or its selected Service Provider(s) are not satisfied with it's legitimacy.
11.4 Bank deposit payments
11.4.1 If you selects to 'pay via bank deposit', instructions will be given on how to deposit monies into the African Lodge Directory bank account and would it be subject to the following rules:
11.4.1.1 The exact amount must be paid;
11.4.1.2 The payment must be identified by supplying the order number and surname in the reference section of the deposit slip or on the electronic transfer;
11.4.1.3 No transfers must be made from ATM's;
11.4.1.4 Cheque deposits are subject to a clearing period;
11.4.1.5 No bank deposits are accepted from outside the borders of South Africa;
11.4.1.6 Unpaid bank deposit orders are cancelled after 5 (five) business days;
11.4.1.7 African Lodge Directory will only initiate delivery after full clearance of said funds on African Lodge Directory bank account

12. TERMINATION
These Terms and Conditions and your access to the website may be terminated at any time by African Lodge Directory without notice. All restrictions, disclaimers and limitations of liability by African Lodge Directory will survive termination, however, you
will no longer be authorised to access the website.

13. BREACH
13.1 If you are in breach of the Terms and Conditions of this website, African Lodge Directory reserves the right to, without prejudice to any rights which it may have in terms hereof or at law, to:
13.1.1 order for specific performance and damages
13.1.2 terminate this Agreement (also see paragraph 9 above) and claim damages;
13.1.3 Institute criminal procedures where applicable and necessary;
13.2 All costs, charges and expenses of whatsoever nature which may be incurred by African Lodge Directory in enforcing its rights in terms hereof including, without limitation, legal costs on the scale as between an attorney and own client and collection commission, irrespective of whether any action has been instituted, shall be recoverable from you if the above rights are successfully enforced.

14. APPLICABLE AND GOVERNING LAW
The Web site is hosted, controlled and operated from the Republic of South Africa and therefore the South African law enforced by the South African courts governs the use or inability to use the Web site, its content, services and these terms and conditions.

15. LEGAL COSTS
African Lodge Directory shall not be liable for costs incurred by Users to obtain professional advice relating to these terms and conditions.
